Ads that are cancelled in writing by September 1st, 2011 will receive a full refund. No refunds will be given for ads cancelled after that date. Cover positions are confirmed upon receipt of full payment. Submit ad copy to nrep@nrep.org on or before September 1, 2011.
EXHIBITS
A. Application
The application must be accompanied by check or credit card information; Full payment must be made before booth assignment will be issued. All exhibitors will have their choice of booth assignment based on sponsorship level. Sponsors will receive their booth assignments by September 15, 2011.
B. Agreement to Conditions
Upon the acceptance of the application, the Exhibitor agrees to abide by the terms and conditions listed below.
C. Liability
The Exhibitor takes full responsibility for and shall defend, indemnify, hold harmless, and release the National Registry of Environmental Professionals, and the Riviera Hotel and Casino from and against all claims, causes of action, obligations, suits, liabilities, losses, damages, expenses and/or costs, including attorneys’ fees related to or arising from or out of any injury to any person, or any loss of or damage to property where such injury, loss, or damage is incident to, arises out of, or is in any way connected with Exhibitor’s participation in the conference, use of the Riviera Hotel and Casino, or negligent act or omission of Exhibitor or caused by its product.
D. Exhibit Space
Booths are 8' x 5'. Booths will be equipped with an identification sign, a 6' draped table, two chairs, and a wastebasket.
E. Cancellation or Relocation of Conference
In the event that the National Registry of Environmental Professionals must cancel or relocate the Conference due to circumstances not under the direct control of NREP, NREP will have no liability of any kind.
HOTEL GUIDELINES ON Table Top EXHIBITS
Table Top Displays are defined as promotional/ educational/ sales materials or items etc. that are restricted to the top of one (1) hotel provided table and may extend no higher than 36” above table top surface.
A. Each Table Top Display floor space will not exceed an area measuring 8’ X 5’.
B. Display materials may not exceed 250 lbs per display area & must be located either on top of or under (hidden from view) the display table.
C. NREP will hire a hotel approved service contractor for events requiring more than forty (40) display areas.
D. The Riviera Convention Services Manager will ensure that all hotel policies are fully adhered to and retains the ultimate authority to restrict access to any party that is not in full compliance.
The hotel will provide and setup the following for each Table Top display area:
Contracting organization/vendor responsibilities and hotel guidelines:
A. Exhibitors and NREP shall indemnify and hold harmless Hotel and its servicing agents from all liability (damage or accident) which might ensue from any cause resulting or connected with transportation, placing, removal or display of exhibits. NREP hereby agrees to the Responsibility Clause of Exhibits as follows: Hotel unfortunately does not have storage space for crates. However, the Hotel will accept a limited amount of convention material and freight through our Business Center at prevailing rates.
B. Uniformed Guards for the Exhibit Area may be hired at the discretion and the expense of the NREP. Under no circumstances are armed personnel permitted without the Hotel’s prior approval.
C. Organization shall be responsible for obtaining any necessary Local Fire Department approvals of Exhibit plans.
D. Hotel requests that the NREP submit to Hotel a proof of the Exhibitors Contract before it is sent to the Exhibitors.
RESPONSIBILITY CLAUSE OF EXHIBITS
The Vendor shall assume responsibility for any claims arising out of the use of the exhibition premises of the Hotel, except any such claims that are a result of Hotel’s gross negligence. In this regard, the Vendor agrees to indemnify and defend the Hotel and its Owners, agents and employees, and the National Registry of Environmental Professionals (NREP) against any claims or expenses arising out of the use of the exhibition premises.
The NREP agrees to obtain and maintain during the use of the exhibition premises, Comprehensive General Liability Insurance, including contractual liability covering the Organization indemnity in this Responsibility Clause. Such insurance shall be in the amount of not less than $2,000,000 combined single limit for personal injury and property damage. The Hotel and its Owners shall be named as additional insured on such policy, and Organization shall supply the Hotel with Certificates of Insurance at least 30 days prior to the use of the exhibition premises.
In order to protect the NREP and the Hotel, the NREP agrees to include the following Responsibility Clause in their Vendor Exhibitor contracts: Exhibitor assumes responsibility and agrees to indemnify and defend the NREP and the Hotel and their respective employees and agents against any claims or expenses arising out of the use of the exhibition premises.
The Exhibitor understands that neither the NREP nor the Hotel maintain insurance covering the Exhibitor’s property and it is the sole responsibility of the Exhibitor to obtain such insurance.
NREP agrees that the risk of loss for all merchandise, trade items and equipment (“Property”) brought to the Hotel property either directly by the NREP or by a third-party vendor or exhibitor of the NREP due to the gross negligence of the Hotel or the gross negligence or intentional misconduct of an employee of the Hotel. NREP agrees to indemnify and hold the Hotel harmless against any claims for loss or destruction of Property by any third party absent a showing of gross negligence or intentional misconduct by Riviera or its employees.
In the event that the Hotel becomes a bailee of property that is forwarded to the Hotel either by the NREP or one of its vendors or exhibitors, the Hotel will take reasonable steps to transport the property to the loading dock of the Hotel convention center, but it is the Organizations responsibility to provide adequate safeguard measures in place to protect the property at all times. In no event will the Hotel be responsible for the property absent a showing of gross negligence or intentional misconduct on the part of the Hotel or its employees.
RESORT AMENITY FEE
The Riviera resort amenity fee is provided on a complimentary basis to guests within your contracted sleeping room block. Included in the fee:
It is our understanding, unless otherwise notified, that all individuals will be responsible for payment of their own charges for guest rooms, tax and incidentals. The Hotel requires a one night’s room deposit plus Clark County Room tax. This deposit may be made by major credit card, check, or money order. The credit card is charged at the time of the booking and if you are sending a check or money order, the Hotel must receive payment within 14 days of making the room reservation or it will be canceled. The room deposit is refundable, minus any applicable hotel cancel fees, if reservations are canceled at least seven (7) days prior to arrival.
At your request, and subject to prior credit approval, the hotel will be pleased to establish a master account to which we will post all charges for your set functions, per your program. All charges posted to your master account should be approved in writing by you or your authorized designee. We would like to review the account with you daily to eliminate discrepancies. It is agreed that the estimated master account will be paid within thirty (30) days after receipt of the bill. In the event credit is not approved, it is agreed that 50% of the estimated master account will be paid 30 days in advance of the conference with the remaining 50% to be paid 10 days in advance of the conference. All accounts not paid within thirty (30) days will be subject to interest charges at 1 1/2 % per month.
FORCE MAJEURE
No damages shall be due for a failure of performance occurring due to Acts of God, war, government regulation, disaster, civil disorder or strikes which make performance impossible.
ARBITRATION
Any controversy or claim arising out of or relating to this contract or the breach there of, shall be settled by arbitration in accordance with the Rules of American Arbitration Association, and judgment rendered by the Arbitrator(s) may be entered in any court having jurisdiction. The location of any arbitration requested shall be Las Vegas, Nevada.
INDEMNIFICATION
The Vendor Exhibitor shall indemnify, hold harmless and defend Hotel, its officers, directors, employees and agents and the National Registry of Environmental Professionals (NREP) from any and all claims, demands, liabilities, costs and expenses, for any injury to, including the death of persons and any loss of or damage arising out of the Organization's function and utilization of the Hotel except for such damage or injury resulting from the gross negligence or willful misconduct acts or omissions of Hotel, its agents, servants or employees.
INSURANCE
The Vendor Exhibitor shall carry Commercial General Liability, fire, property and other insurance in an amount not less than $2,000,000 covering any claims arising from any activities conducted in Hotel including claims for bodily injury or death, and property damage, during the meeting period and to indemnify and defend the other party as provided in this agreement.
WARRANTIES, DUTIES, AND RESPONSIBILITIES OF HOTEL
The NREP shall be responsible for complying with following public accommodations requirement of ADA:
2. the provision of auxiliary aids and service where necessary to ensure effective communication of the NREP’s program to disabled participants (e.g., Braille or enlarged print handouts, interpreter or simultaneous video text display); and
3. the modification of the NREP’s policies, practices and procedures applicable to participants as required to enable disabled individuals to participate equally in one program.
The NREP shall attempt to identify in advance any special needs of disabled registrants, staff and guests requiring accommodation by Hotel, and will notify Hotel of such needs for accommodation as soon as they are identified to the NREP. Whenever possible, the NREP shall copy Hotel on correspondence with attendees who indicated special needs as covered by ADA. Hotel shall notify the NREP of requests for accommodation which Hotel may receive otherwise than through the NREP to facilitate identification by the group of its own accommodation obligations or needs as required by ADA.
MISCELLANEOUS PROVISIONS
Waiver by either party of any term or condition or breach shall not constitute a waiver of any other term or condition or breach of this agreement. In the event any provision of this agreement is held invalid or unenforceable, or in the event any provision of this agreement is held invalid or unenforceable in a particular application, then, as the case may be neither the remaining provision of this agreement nor other applications of the provisions involved shall be affected thereby.
Any notice of termination of this agreement required by this Agreement shall be in writing and shall become effective two (2) days after the mailing thereof by certified mail, return receipt requested, postage prepaid addressee. The addresses for the purposes of this paragraph may be changed by giving written notice of such change in the manner provided herein for giving notice. Unless and until written notice is received, the last address stated herein shall be deemed to continue in effect for all purposes hereunder.
This Agreement contains all of the terms agreed upon by the parties with respect to its subject matter and supersedes all prior agreements, arrangements, promises, and communications between the parties concerning such subject matter, whether oral or written.
This Agreement shall be binding upon and inure to the benefit of both the Organization and the Hotel and their successors and assigns. This agreement may be amended only in writing and must be signed by the party against whom the enforcement of the amendment is sought.
This Agreement is entered into and shall be governed by the laws of the State of Nevada and will be construed and interpreted according to the laws of that state. The parties agree that any legal action or proceeding with respect to this agreement shall be brought in any court of general jurisdiction in Las Vegas, Nevada.
The NREP shall not assign any of its rights under this agreement without the written consent of the other party. Consent shall not be unreasonably withheld.
Should disputes be submitted to arbitration, the prevailing party shall be entitled to recover, in addition to all other relief to which it may be entitled, its reasonable attorney's fees and all costs of suit as fixed by the court or the arbitration panel.
If you are in agreement with the contents of this proposal please sign on the space indicated and return to me by September 1, 2011. In the interim, however, should we receive another request for these dates, you will be contacted (by phone, fax, e-mail, etc) and given a twenty-four (24) hour right-of-refusal to confirm or cancel your event here. If not executed and returned by said date, this offer shall automatically terminate. Space is confirmed on a definite basis ONLY after receipt of this agreement signed by you and counter-signed by the Hotel.
This constitutes the entire agreement between the parties and it may not be amended or changed unless done so in writing and signed by the NREP and Vendor.
